金风科技股份有限公司（以下简称“金风科技”）于3月17日发布公告，其全资子公司金风国际控股（香港）有限公司为另一全资子公司金风巴西提供履约担保，担保金额折合人民币约1.62亿元。

Gingseng Wind Technology Co., Ltd. (hereinafter referred to as "Gingseng Technology") issued a public announcement on March 17th, stating that its wholly-owned subsidiary, Gingseng International Holdings (Hong Kong) Co., Ltd., provided a performance guarantee for another wholly-owned subsidiary, Gingseng Brazil. The guaranteed amount was approximately 162 million yuan in RMB.

此次担保旨在支持金风巴西与巴西PARQUE EÓLICO JACOBINA 05 S.A.公司签署的《风机供货和安装协议》。根据协议，金风巴西将负责风机的供货、运输、安装及质保等服务。担保期限自协议签署日起至预计2031年2月质保期结束。

This guarantee is aimed at supporting the "Wind Turbine Supply and Installation Agreement" signed by Goldwind Brazil and the Brazilian company PARQUE EÓLICO JACOBINA 05 S.A. According to the agreement, Goldwind Brazil will be responsible for the supply, transportation, installation and quality guarantee services of the wind turbines. The guarantee period starts from the date of the agreement signing and lasts until the expected end of the quality guarantee period in February 2031.

公告披露了金风巴西的财务状况：2025年1-11月，其营业收入达8.62亿元，净利润为1.52亿元，较2024年全年亏损状态实现大幅扭亏为盈。截至2025年11月底，其资产负债率为86.77%。

The announcement disclosed the financial situation of Goldwind Brazil: From January to November 2025, its operating revenue reached 862 million yuan, and its net profit was 152 million yuan, achieving a significant turnaround from the loss situation in 2024. As of the end of November 2025, its debt-to-asset ratio was 86.77%.

金风科技表示，本次担保在股东大会已批准的担保额度范围内，无需另行提交董事会审议。担保完成后，公司及控股子公司对外担保总额为6.89亿元，占最近一期经审计净资产的1.79%，目前无逾期或涉诉担保。此举标志着金风科技正通过子公司深度拓展巴西及南美可再生能源市场。

Jin Feng Technology stated that this guarantee falls within the approved guarantee limit by the shareholders' meeting and does not require separate review by the board of directors. After the guarantee is completed, the total amount of external guarantees of the company and its subsidiaries is 689 million yuan, accounting for 1.79% of the latest audited net assets. Currently, there are no overdue or litigated guarantees. This move indicates that Jin Feng Technology is deeply expanding the Brazilian and South American renewable energy market through its subsidiaries.
