近日，山东产权交易中心预披露了陕西永明煤矿有限公司(下称“永明煤矿”)51%股权转让项目信息，转让方为山东能源集团西北矿业有限公司(下称“山能西北矿业”)。

转让信息显示，永明煤矿成立于2013年，注册资本1000万元人民币，注册地陕西省延安市，法定代表人吴玉杰。经营范围包括煤炭开采销售、煤炭洗选加工。

The transfer information indicates that Yongming Coal Mine was established in 2013, with a registered capital of 10 million yuan. Its registered address is in Yan'an City, Shaanxi Province, and the legal representative is Wu Yujie. The business scope includes coal mining and sales, as well as coal washing and processing.

从股权结构看，山能西北矿业持有永明煤矿51%股权，陕西国晟投资管理有限公司持股49%。

From the perspective of equity structure, Shanneng Northwest Mining holds 51% of the equity in Yongming Coal Mine, while Shaanxi Guosheng Investment Management Co., Ltd. holds 49%.

从财务状况看，永明煤矿2025年营业收入为3.25亿元，利润总额-3789.56万元，净利润-3848.09万元。今年前4个月，永明煤矿的营业收入为1.11亿元，利润总额-483.76万元，净利润-483.76万元。

From the financial perspective, the revenue of Yongming Coal Mine in 2025 is 325 million yuan, with a total profit of -37.8956 million yuan and a net profit of -38.4809 million yuan. In the first four months of this year, the revenue of Yongming Coal Mine was 111 million yuan, with a total profit of -4.8376 million yuan and a net profit of -4.8376 million yuan.

截至2026年4月30日，永明煤矿的资产总额为9.42亿元，负债总额1.1亿元，所有者权益8.32亿元。

公开信息显示，永明煤矿核定生产能力为‌45万吨/年‌，井田面积9.1091平方公里，主采3层和5层煤。‌地面建有‌120万吨选煤厂‌，洗出的煤种主要为中低灰、低硫特强粘结的45#气煤。

Public information indicates that the Yongming Coal Mine has a核定 production capacity of 450，000 tons per year， with an area of 9.1091 square kilometers for the mining area. The main coal seams mined are the 3rd and 5th layers. On the ground， there is a 120，000-ton coal washing plant， and the washed coal mainly consists of 45# gas coal with medium-low ash content, low sulfur content, and strong adhesiveness.

值得注意的是，2022年，因甲烷传感器调校违规，永明煤矿被国家矿山安全监察局陕西局处以4.5万元罚款。2023年，公司完成煤矸石违规倾倒整改并通过环保验收，2024年纳入子长市区域性煤矿隐蔽致灾因素普查范围。

2025年，该公司又因骗享研发费用加计扣除税费优惠偷税被查。涉及违规扩大研发人员范围、虚列研发工时、将部分生产经营用材料违规列入研发材料费用，违规享受研发费用加计扣除税收优惠，少缴企业所得税184.94万元。国家税务总局延安市税务局依法对其追缴税费款、加收滞纳金并处罚款，共计323.41万元。

山能西北矿业官网显示，公司是山东能源集团有限公司的全资子公司。2021年，山东能源集团按照“一个区域一个管理主体、一个投资主体”原则，整合旗下淄矿集团、龙矿集团、新矿集团、肥城煤业、临矿集团5家非上市公司单位区域产业资源，于当年12月在西安市注册成立西北矿业。

The official website of Shandong Energy Northwest Mining Co., Ltd. states that the company is a wholly-owned subsidiary of Shandong Energy Group Co., Ltd. In 2021, in accordance with the principle of "one regional management entity and one investment entity", Shandong Energy Group integrated the regional industrial resources of its five non-listed companies, namely Ziqi Mining Group, Long Mining Group, Xin Mining Group, Feicheng Coal Industry, and Lin Mining Group.
